1. Acceptance of Terms

By accessing or using PatchyHub ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

PatchyHub is a documentation and system management platform designed for HighLevel users. The Service allows users to document their systems, snapshots, assets, and workflows, manage teams, and share documentation with other users.

3. User Accounts

3.1 Registration

You must create an account to use most features of the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

4. Subscription and Payments

4.1 Free Tier

The Service offers a free tier with unlimited records. Free workspaces are solo-only and do not support team member invitations. Free users do not have access to AI-powered features.

4.2 Paid Subscriptions

Paid subscriptions provide access to additional features including team collaboration, AI-powered tools, and AI credits. PatchyHub offers a Pro plan ($25/month or $250/year). Subscription fees are billed in advance on a monthly or annual basis depending on the plan selected. AI credits are included with each paid plan.

4.3 AI Credits

Certain AI-powered features require credits. The number of credits included varies by plan. Credits are consumed when using AI features such as deep-dive analysis, comprehension checks, and automated tool calls. Unused credits expire at the end of each billing period and do not roll over. Credits are forfeited upon subscription cancellation or expiration. PatchyHub reserves the right to adjust credit pricing and allotments with 30 days written notice.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, you will continue to have access to paid features until the end of your current billing period. Any remaining AI credits will be forfeited. We do not provide refunds for partial billing periods.

5. User Content

5.1 Ownership

You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of operating and providing the Service.

5.2 Responsibility

You are solely responsible for your User Content and the consequences of posting it. You represent that you have all necessary rights to your User Content and that it does not violate any law or infringe any rights of others.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Interfere with or disrupt the Service or servers or networks connected to the Service
Attempt to gain unauthorized access to any part of the Service
Use the Service to transmit any malware, viruses, or harmful code
Impersonate any person or entity or misrepresent your affiliation
Collect or harvest any information from the Service without authorization
Use automated means to access the Service without our express permission
Resell or redistribute the Service without authorization

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of PatchyHub and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without our prior written consent.

8. Third-Party Services

The Service may integrate with or contain links to third-party websites or services (including HighLevel). We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any such third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PATCHYHUB, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless PatchyHub and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PatchyHub operates, without regard to its conflict of law provisions.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
